All content on this website, including text, designs, logos, and methodologies, is the property of Khwan Cloud and is protected under applicable Thai intellectual property law.

For service engagements, ownership of deliverables will be specified in the individual agreement. Where no specific provision is made, work products created specifically for a Client as part of an engagement are owned by the Client upon full payment. Khwan Cloud retains ownership of its pre-existing tools, frameworks, and methodologies.

Clients grant Khwan Cloud a limited, non-exclusive licence to use Client-provided materials solely for the purpose of delivering the agreed services.

6. Payment Terms

Service fees are as follows:

All prices are quoted and payable in Thai Baht (THB). Payment schedules will be set out in each engagement's statement of work. Multi-service or milestone-based payment arrangements may be agreed in writing before work commences.

Late payment may result in suspension of work until outstanding amounts are settled. Refunds are not available once an engagement phase has been completed and signed off by the Client.

7. Service Delivery Terms

Khwan Cloud will use reasonable skill and care in delivering services within the agreed scope and timeline. Timelines are estimates based on normal working conditions and assume timely access to agreed resources from the Client.

Changes to the scope of an engagement after commencement must be agreed in writing by both parties. Additional scope may require revised timelines and fees.

Khwan Cloud will maintain the confidentiality of all Client information encountered during an engagement, in accordance with the mutual non-disclosure agreement signed before each engagement begins.

8. Disclaimers

Our website content is provided for informational purposes. While we aim to keep information accurate, we make no representations about its completeness or fitness for any particular purpose.

Our services are provided with professional care and skill, but we do not commit to specific business outcomes resulting from AI adoption. Results depend on factors within the Client's control, including the quality of implementation decisions made by the Client organization.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Khwan Cloud's total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such losses.

10. Indemnification

You agree to indemnify and hold harmless Khwan Cloud, its directors, employees, and contractors from any claims, damages, or expenses arising from your breach of these Terms, your use of our services in violation of applicable law, or your misrepresentation of any material fact in connection with an engagement.

11. Termination

Either party may terminate an engagement agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of written notice.

On termination, fees for work completed to the point of termination remain payable. Khwan Cloud will deliver all work in progress at the termination date.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation.

If a dispute cannot be resolved informally, it shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

13. General Provisions

These Terms, together with any applicable engagement agreement, constitute the entire agreement between the parties regarding the subject matter herein. If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

Our failure to enforce any right under these Terms does not constitute a waiver of that right. These Terms may not be assigned by you without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via our website. Continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
